These Prediction Market Access Services Terms and Conditions (these "Terms") constitute a separate, self-contained agreement between you and the Provider governing your access to and use of the Prediction Market Access Services described below. These Terms stand alone and are not conditioned upon, and do not incorporate, any other terms or conditions. Capitalised terms have the meanings given in Part A to these Terms. By accessing or using the Prediction Market Access Services, you agree to be bound by these Terms.
1.1 These Terms apply to the Prediction Market Access Services, which are provided exclusively by 3-102-965325 S.R.L., a sociedad de responsabilidad limitada organised under the laws of the Republic of Costa Rica (the "Provider").
1.2 These Terms constitute the entire agreement between you and the Provider in respect of the Prediction Market Access Services and govern your access to and use of them. In the event of any inconsistency between these Terms and any other terms in respect of the Prediction Market Access Services, these Terms prevail.
1.3 The Prediction Market Access Services are made available within the App or the Site and are a distinct and optional feature; eligibility for, or access to, any other service does not confer eligibility for, or access to, the Prediction Market Access Services, which are subject to the separate eligibility and restriction provisions in Clause 5.
2.1 The functions of the App or Site, which may change from time to time upon reasonable prior notice to you, allow you to access the Prediction Market Access Services.
2.2 Subject always to your continuing compliance with these Terms, the Provider and its affiliates will grant to you a limited, non-transferable, non-exclusive licence to use the App and Site insofar as owned by or licensed through the Provider and its affiliates on your Enabled Device and only for your own purposes, on and subject to these Terms. All other rights not expressly granted to you are reserved.
3.1 The Prediction Market Access Services consist of the provision, by the Provider, of a technology interface and related access and support functions through which eligible users may access Prediction Markets operated by Polymarket. The Provider's role comprises, inter alia:
(a) the frontend interface and user experience;
(b) user interaction and navigation;
(c) eligibility and compliance screening, including the geo-blocking and restriction controls described in Clause 5;
(d) customer support;
(e) platform accounting and the display of balances and transaction history;
(f) acting as the contractual counterparty with Polymarket;
(g) the holding or custody of Digital Assets;
(h) the control of private keys; and
(i) the movement or conversion of funds provided in connection with the service.
3.2 The Prediction Market Access Services do not include the Polymarket Services. The Provider does not operate the Prediction Markets, create or list markets, set prices or odds, match orders, resolve markets, determine outcomes, or effect on-chain settlement; those functions comprise the Polymarket Services and are performed by Polymarket. For the avoidance of doubt, the Provider does not accept wagers, and does not act as a principal, counterparty, broker, dealer, exchange, or market-maker in respect of any Prediction Market and does not guarantee any outcome or payout.
3.3 The Provider may, at its sole discretion, update, modify, suspend, restrict, or discontinue the Prediction Market Access Services or any feature thereof at any time, including where required to comply with Applicable Law or the requirements of Polymarket.
4.1 The Provider provides all services, functions, and activities in connection with access to and use of the Prediction Markets, other than the Polymarket Services. These comprise the frontend, user-facing, eligibility and compliance-screening, support, accounting, and contracting functions, together with any holding or custody of Digital Assets, control of private keys, and movement or conversion of funds provided in connection with the service. The Polymarket Services are provided wholly by Polymarket and are not provided by the Provider.
4.2 Outsourcing. The Provider may, in its discretion, perform any of the Prediction Market Access Services itself or outsource the performance of certain functions — including any custody of Digital Assets, control of private keys, and the movement or conversion of funds — to one or more third parties, which may include the Provider's affiliates. Any such outsourcing does not, of itself, relieve the Provider of its obligations to you under these Terms in respect of the Prediction Market Access Services, except as set out in Clause 11. The Provider remains your point of contact for the Prediction Market Access Services. The Polymarket Services are not outsourced by the Provider; they are provided directly by Polymarket.
5.1 The Prediction Market Access Services are available only to eligible users who are not Restricted Persons and who are not located or resident in a Restricted Jurisdiction. Eligibility for the Prediction Market Access Services is separate from, and more restrictive than, eligibility for any other service.
5.2 A "Restricted Person" is any person who:
(a) is resident or located in, or is a citizen or national accessing from, a Restricted Jurisdiction;
(b) is a Proscribed Person or is the subject of any sanctions;
(c) is under the minimum age required under Applicable Law in their jurisdiction; or
(d) is otherwise prohibited from accessing the Prediction Markets under Applicable Law or the Polymarket Terms.
5.3 A "Restricted Jurisdiction" includes, at a minimum:
(a) the Republic of Costa Rica;
(b) the United States of America and its territories;
(c) the Hong Kong Special Administrative Region;
(d) any jurisdiction that is the subject of country-wide or territory-wide sanctions; and
(e) each jurisdiction set out in the Restricted Jurisdictions Schedule to these Terms (Annex 2), as updated from time to time; and
(f) every jurisdiction designated as restricted under the Polymarket Terms, as amended from time to time, which designation is incorporated into these Terms by reference.
Where the Polymarket's restricted-jurisdiction list and the foregoing differ, the more restrictive applies. Without limiting the foregoing, residents of Costa Rica are not eligible to access or use the Prediction Market Access Services.
5.4 The Provider implements eligibility and restriction controls, including IP-based screening (geo-blocking), residency verification, and self-declaration, to prevent access by Restricted Persons and from Restricted Jurisdictions. You must not access, or attempt to access, the Prediction Market Access Services through any means (including any virtual private network, proxy, remote access tool, false information, third-party account, or other technique) intended to misrepresent or conceal your location, residence, nationality, citizenship, or identity. The Provider may suspend or terminate access where it determines, in its sole discretion, that a user is a Restricted Person or is accessing from a Restricted Jurisdiction.
5.5 Restricted Jurisdictions — availability. The Prediction Markets (operated by Polymarket) and the access services provided by the Provider under this integration (together, the "Services") are strictly unavailable, and may not be accessed or used, by any person who is resident or located in, who is a citizen or national of, or who is accessing from, a Restricted Jurisdiction. The Provider applies eligibility and restriction controls, including IP-based screening (geo-blocking), residency verification, and self-declaration. You must not access, or attempt to access, the Services from a Restricted Jurisdiction, or through any means (including any virtual private network, proxy, remote access tool, false information, third-party account, or other technique) intended to misrepresent or conceal your location, residence, nationality, citizenship, or identity. Any prohibited access or attempted access may result in rejection of access, cancellation or restriction of functionality, suspension or termination of your account, reversal or withholding of the relevant activity, and any other action required under these Terms, the Polymarket Terms, or Applicable Law.
6.1 The Prediction Markets are operated by Polymarket, an independent third party. Your access to and use of the Prediction Markets is subject to the Polymarket Terms (as amended from time to time) in addition to these Terms. As a condition of, and prior to, first accessing the Prediction Market Access Services, you must affirmatively accept the Polymarket Terms through the App (by means of a click-through or equivalent affirmative acceptance), and the Provider shall record and retain evidence of such acceptance. The Polymarket Terms are incorporated into these Terms by reference, and you agree to be bound by them. In the event of any inconsistency between the Polymarket Terms and these Terms in respect of the operation, matching, resolution, or settlement of a Prediction Market, the Polymarket Terms govern as between you and Polymarket.
6.2 The Polymarket may amend the Polymarket Terms from time to time, and amendments take effect in accordance with their terms. The Provider will make the then-current Polymarket Terms available within the App, and your continued access to or use of the Prediction Market Access Services after an amendment becomes effective constitutes your acceptance of the Polymarket Terms as amended. Where the Provider receives advance notice of a material change to the Polymarket Terms, it will use reasonable efforts to notify you within the App before the change becomes binding.
6.3 The Provider is not responsible for, and makes no representation or warranty in respect of, the Prediction Markets, the central limit order book, the smart contracts, market resolution, or on-chain settlement, all of which are operated by Polymarket or effected on the Polygon blockchain. The international Prediction Markets are not regulated by the U.S. Commodity Futures Trading Commission and operate independently of any United States-regulated venue.
6.4 Prediction Markets wholly provided by Polymarket. The Prediction Markets are operated, administered, and provided in their entirety by Polymarket, an independent third-party platform, including market creation and listing, the order book, pricing, order matching, market resolution, and on-chain settlement on the Polygon blockchain. The Provider does not provide the Polymarket Services and performs none of those functions. The Provider does not act as principal, counterparty, broker, dealer, exchange, market-maker, investment adviser, or fiduciary in respect of any Prediction Market, and does not sponsor, endorse, advise on, recommend, or guarantee the Prediction Markets, their availability, or any outcome, price, liquidity, or payout. Your access to and use of the Prediction Markets is governed by the Polymarket Terms, which apply directly between you and Polymarket. Participation carries significant risk, including financial loss, market volatility, technology failure, smart contract risk, and legal or regulatory risk, and you may lose part or all of the value you commit. Please review the Polymarket Terms and Polymarket's risk disclosures before participating.
7.1 The Prediction Market Access Services operate exclusively in USDC or such other stablecoins as may be supported from time to time. No fiat currency is handled by the Provider in connection with the Prediction Market Access Services.
7.2 Any conversion of Digital Assets required to fund or withdraw from a position forms part of the Prediction Market Access Services and may be performed by the Provider or outsourced under Clause 4. Matching and settlement form part of the Polymarket Services and are effected by Polymarket on the Polygon blockchain.
7.3 You acknowledge that on-chain settlement is final and irreversible, that the Provider cannot reverse, cancel, or modify any on-chain transaction, and that the timing and completion of settlement are determined by the Polygon blockchain and the Polymarket's smart contracts.
8.1 The Prediction Market Access Services and the Polymarket Services are subject to such fees as may be set out and collected by Polymarket. Fees may apply in connection with deposit, withdrawal, and conversion-related access provided by the Provider.
You acknowledge, agree, and represent that:
(a) the Prediction Markets are information markets on which Outcome Tokens are traded; participation involves a substantial risk of loss, and you may lose the entire value of your position;
(b) the Provider does not provide the Prediction Markets as a gambling, gaming, or betting service, and the Prediction Market Access Services do not constitute the operation of any such activity by the Provider;
(c) nothing in the Prediction Market Access Services constitutes investment, legal, tax, or other advice, and no fiduciary or advisory relationship arises between you and the Provider;
(d) Outcome Tokens, Digital Assets, and the Polygon blockchain are subject to volatility, technological risk, and regulatory risk, and the Provider does not guarantee any outcome, price, liquidity, or payout;
(e) you are solely responsible for your own decisions and for the tax treatment of your activity in your jurisdiction; and
(f) the regulatory treatment of prediction markets and virtual assets is evolving and may change, and access may be modified, suspended, or withdrawn accordingly.
You represent and warrant, on a continuing basis, that:
(a) you are not a Restricted Person and are not accessing from a Restricted Jurisdiction;
(b) you are acting on your own account and not on behalf of any undisclosed person;
(c) the Digital Assets you use are legally and beneficially owned by you and are not derived from or connected with any unlawful activity; and
(d) your access to and use of the Prediction Market Access Services complies with all Applicable Laws in your jurisdiction.
You agree to provide such information and documentation as the Provider may require for compliance with Applicable Law, including anti-money-laundering and sanctions requirements.
11.1 The Provider may suspend, restrict, or terminate access to the Prediction Market Access Services, in whole or in part, where required by Applicable Law, by Polymarket, or where it determines a user is a Restricted Person or is accessing from a Restricted Jurisdiction, or otherwise in accordance with these Terms.
11.2 Except as expressly provided in these Terms, to the fullest extent permitted by the Applicable Law, the Provider disclaims all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise (regardless of any course of dealing, custom or usage of trade) of any service or any goods provided incidental to the Prediction Market Access Services under these Terms.
11.3 Notwithstanding anything in these Terms, to the extent permitted by Applicable Law, in no event shall the Provider be liable to you for any losses or damage or claims:
(a) due to an unusual or unforeseeable event, outside the reasonable control of the Provider and the consequences of which could not have been avoided even if all due care had been exercised (including but not limited to force majeure, events of war or civil unrest, natural disasters, strike, lock-out, traffic disruption, acts of domestic or foreign governmental authorities);
(b) arising from or in connection with:
(A) any delay, suspension, discontinuance or failure of the App, the Site or the Prediction Market Access Services;
(B) any rejection of your participation in the Prediction Market Access Services;
(C) your inability to participate in the Prediction Market Access Services due to system maintenance or breakdown / non-availability of the App, Site, network, our hardware or software or that of any third parties;
(D) use of your Enabled Device and the Prediction Market Access Services by third parties, whether authorised or unauthorised by you; and
(E) any theft or loss of your Enabled Device;
(c) caused by the Provider due to compliance with applicable laws, court orders, and/or network rules; and
(d) arising out of or in connection with these Terms for lost profits, lost revenues, lost business opportunities, exemplary, punitive, special, incidental, indirect or consequential damages, each of which is hereby excluded by agreement of the parties to these Terms.
11.4 To the fullest extent permitted by Applicable Law, the Provider disclaims all liability for:
(a) the acts, omissions, operation, resolution, or settlement of Polymarket and the Prediction Markets;
(b) the performance, availability, or security of the Polygon blockchain and any smart contract;
(c) any loss arising from market volatility, the value of Outcome Tokens or Digital Assets, or any conversion; and
(d) any loss arising from a user's breach of the eligibility and restriction provisions in Clause 5.
11.5 Liability for the Provider's services and the Polymarket Services. The Provider's responsibility and liability under these Terms relate to the Prediction Market Access Services. Where the Provider outsources the performance of a function under Clause 4 (including any custody of Digital Assets, control of private keys, or movement or conversion of funds), that function remains part of the Prediction Market Access Services and the Provider remains responsible for it to the extent and in the manner set out in these Terms; however, to the fullest extent permitted by Applicable Law, the Provider is not liable for the acts, omissions, failure, insolvency, or default of any third party to whom such a function has been properly delegated, beyond the exercise of reasonable care by the Provider in selecting that third party. The Provider is not responsible or liable for the Polymarket Services, which are provided wholly by Polymarket, including the operation, matching, pricing, resolution, or settlement of the Prediction Markets; and, to the fullest extent permitted by Applicable Law, the Provider excludes all liability arising from or in connection with the Polymarket Services or any act, omission, failure, or default of Polymarket.
11.6 No advice; no regulated activity. The Provider does not provide investment, financial, legal, tax, or other advice, and makes no recommendation or solicitation in respect of any Prediction Market, Outcome Token, or transaction. Nothing made available through the Prediction Market Access Services constitutes an offer, solicitation, or inducement to enter into any transaction. The Provider does not act as, and does not hold itself out as, a securities intermediary, broker, dealer, investment adviser, or gambling, gaming, or betting operator, and does not itself take deposits. You are solely responsible for your own decisions and for evaluating the merits and risks of any activity.
11.7 Virtual assets only; not a deposit. The Prediction Market Access Services operate only in USDC or other supported stablecoins, and the Provider handles no fiat currency. Stablecoins and other Digital Assets are not legal tender, are not bank deposits or e-money, and are not insured or guaranteed by any government, central bank, deposit-insurance, or investor-compensation scheme. Stablecoins may fail to maintain their intended value or peg, and Digital Assets may lose value, including to zero. You bear all risks associated with the Digital Assets you use.
11.8 Tax. You are solely responsible for determining, reporting, and paying any taxes, duties, or levies applicable to your activity in your jurisdiction. The Provider does not collect, withhold, report, or remit taxes on your behalf and provides no tax advice. You should consult your own tax adviser.
11.9 Regulatory status. As of the date of these Terms, the Provider is not licensed, registered, or supervised as a financial, securities, money-transmission, payment, or gambling entity in Costa Rica in connection with the Prediction Market Access Services, and the Prediction Markets are operated by Polymarket outside Costa Rica. The Prediction Market Access Services are not subject to the authorization of, or supervision by, any Costa Rican financial regulator, and are not covered by any investor-compensation, deposit-protection, or financial-ombudsman scheme. The regulatory treatment of prediction markets and virtual assets is evolving and may change.
11.10 Service provided "as is." The Prediction Market Access Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Provider does not warrant that the Prediction Market Access Services will be uninterrupted, timely, secure, or error-free, and is not liable for any unavailability, delay, interruption, or failure of the App, application programming interfaces, eligibility or geo-blocking controls, or of the Polygon blockchain or any network, including any congestion, fork, outage, or downtime.
11.11 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the laws of the Republic of Costa Rica, including liability for fraud (dolo) or gross negligence (culpa grave). If any exclusion or limitation in these Terms is held unenforceable, it applies to the maximum extent permitted by law and the remaining provisions continue in effect.
11.12 You agree to indemnify and hold the Provider, each of its affiliates and third-party service providers, and each of their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (i) your breach of these Terms; (ii) your misuse of the App or the Site and your participation in Prediction Market Access Services and the Polymarket Services; (iii) your violation of any rule or regulation, or the rights of any third-party; and (iv) any acts resulting from your wilful default, fraud, gross negligence or breach of these Terms.
12.1 You acknowledge and agree that, in connection with your use of the App and Site for the Prediction Market Access Services, you shall be responsible for the following, at your own cost.
(a) obtaining all necessary hardware, software, and communications services necessary for your use of the App and Site in accordance with these Terms;
(b) installing antivirus or other mobile security software on your Enabled Device to protect against any security or other vulnerabilities which may arise in connection with your use of the App and Site in accordance with these Terms; and
(c) installing updates and patches for the App, Site, and your Enabled Device in a prompt and timely manner.
12.2 Without prejudice to the foregoing and any other terms in these Terms, you shall be solely responsible and liable for any access to and use of the App and Site and participation in the Prediction Market Access Services through your Enabled Device, notwithstanding that such access may have been effected without your knowledge, authority or consent. The Provider shall not be liable to you for any loss or damage resulting from such use.
13.1 Subject to Clause 13.2, and unless otherwise required by a mandatory provision of Applicable Law, these Terms and the Prediction Market Access Services provided by the Provider are governed by, and construed in accordance with, the laws of the Republic of Costa Rica, and any dispute concerning the Prediction Market Access Services provided by the Provider is subject to the exclusive jurisdiction of the competent courts of the Republic of Costa Rica.
13.2 Notwithstanding Clause 13.1, any dispute concerning the operation, matching, resolution, or settlement of a Prediction Market, or otherwise arising between you and Polymarket, is governed by, and shall be resolved in accordance with, the governing-law and dispute-resolution provisions of the Polymarket Terms (which, as at the date of these Terms, specify the laws of the State of New York and arbitration in New York), and not by Clause 13.1. Nothing in these Terms modifies, or purports to modify, the Polymarket Terms as between you and Polymarket.
The Prediction Market Access Services are provided by 3-102-965325 S.R.L. (cédula jurídica No. 3-102-965325), a sociedad de responsabilidad limitada organised under the laws of the Republic of Costa Rica, with registered office at Santa Ana, San José, Costa Rica. For support in respect of the Prediction Market Access Services, contact support@redotpay.com through the App.
Part A — DEFINITIONS
In these Terms, the following terms have the following meanings:
"App" means the mobile and web application through which the Provider makes the Prediction Market Access Services available, and "Site" means any related website.
"Applicable Law" means any law, statute, regulation, rule, order, or sanctions regime applicable to you, to the Provider, or to the Prediction Market Access Services.
"Digital Assets" means cryptographic tokens or virtual assets, including USDC and other supported stablecoins, used in connection with the Prediction Market Access Services.
"Enabled Device" means the mobile communications or other device successfully registered by you for use in connection with the App and the Prediction Market Access Services.
"Polymarket Services" means the services, functions, and activities provided or performed by Polymarket in respect of the Prediction Markets, comprising: (a) the creation, listing, and operation of Prediction Markets; (b) the central limit order book and the matching of orders; (c) the determination of prices and odds; (d) market resolution and the determination of outcomes; (e) the deployment and operation of smart contracts on the Polygon blockchain; and (f) on-chain settlement. The Polymarket Services are provided wholly by Polymarket, do not form part of the Prediction Market Access Services, and are not provided by the Provider.
"Proscribed Person" means any person who is the subject of sanctions, is named on any sanctions or watch list, is located or resident in a comprehensively sanctioned jurisdiction, or is acting on behalf of any such person.
"Prediction Market Access Services" means all services, functions, and activities provided by the Provider through the App in connection with enabling eligible users to access, view, and interact with the Prediction Markets, other than the Polymarket Services. These include the frontend interface, user interaction, eligibility and compliance screening, customer support, platform accounting and balance display, the holding or custody of Digital Assets, the control of private keys, and the movement or conversion of funds provided in connection with the service (each of which the Provider may perform itself or outsource under Clause 4), and all related access and operational functions, as further described in Clause 3.
"Polymarket" means Polymarket, the third-party prediction market platform provider, a Delaware corporation that operates the Prediction Markets and such is integrated into the App pursuant to any agreement between Polymarket and the Provider governing the said integration; Polymarket is an independent third party and is not controlled by the Provider.
"Prediction Market" means a market operated by Polymarket on which users may trade Outcome Tokens referable to the outcome of a future event, with matching effected through Polymarket's central limit order book and settlement effected on the Polygon blockchain.
"Outcome Tokens" means the outcome shares or units traded on a Prediction Market that settle on the Polygon blockchain according to the resolution of the relevant event by Polymarket.
"Polymarket Terms" means Polymarket's terms of use and related policies applicable to end users of the Prediction Markets, as amended from time to time.
"Restricted Person" and "Restricted Jurisdiction" have the meanings given in Clause 5.
Part B — RESTRICTED JURISDICTIONS SCHEDULE
This Schedule sets out the Restricted Jurisdictions referred to in Clause 5 (as of 18 June 2026, and as updated from time to time). The Prediction Market Access Services and the Prediction Markets are strictly unavailable to any person resident or located in, a citizen or national of, or accessing from, any of the following jurisdictions, together with any further jurisdiction designated as restricted under the Polymarket Terms and any comprehensively sanctioned jurisdiction:
Argentina, Australia, Austria, Bahrain, Belarus, Belgium, Brazil, British Virgin Islands, Bulgaria, Burundi, Canada, Central African Republic, Congo (Kinshasa), Costa Rica, Croatia, Cuba, Czech Republic, Denmark, Estonia, Ethiopia, Finland, France, Georgia, Germany, Greece, Hong Kong, Hungary, Iran, Iraq, Ireland, Italy, Japan, Jordan, Kuwait, Latvia, Lebanon, Libya, Lithuania, Luxembourg, Malta, Myanmar, Nepal, Netherlands, Nicaragua, Nigeria, North Korea, Oman, Pakistan, Panama, Philippines, Poland, Portugal, Qatar, Republic of Cyprus, Russia, Singapore, Slovakia, Slovenia, Somalia, South Africa, South Sudan, Spain, Sudan, Sweden, Syria, Taiwan, Thailand, Ukraine, United Arab Emirates, United Kingdom, United States, United States Minor Outlying Islands, Venezuela, Yemen, Zimbabwe.
Where this Schedule and the Polymarket Terms' restricted-jurisdiction list differ, the more restrictive applies. This Schedule may be updated from time to time to reflect changes in Applicable Law, sanctions, or the Polymarket Terms.
