REDOTPAY SUBSCRIPTION PROGRAM TERMS & CONDITIONS

THIS IS AN IMPORTANT DOCUMENT. PLEASE READ IT CAREFULLY. 

These terms and conditions (“Terms”) contain important information which applies to your dealings with us in relation to RedotPay Subscription Program (as defined below). You should read these Terms carefully. Further additional terms and conditions may apply. Any such terms and conditions are additional to the terms set out in these Terms.

You should not construe these or any other statements in these Terms as legal, tax or financial advice. We are not acting as your financial adviser and you must not regard us as acting in that capacity. You should consult your own independent professional advisers before entering into any transaction and only enter into a transaction if you have fully understood its nature, the contractual relationship into which you are entering and all relevant terms and conditions.

GENERAL TERMS AND CONDITIONS

• 1. INTRODUCTION

  • 1.1 RedotPay Subscription Program is a paid membership program entered into by you with the RedotPay group, including Red F. Technology Limited (a private company limited by shares incorporated in Hong Kong with business registration number 75073741) (“RFTL”), Red Dot Technology Limited (a private company limited by shares incorporated in Hong Kong with business registration number 73323716) (“RDTL”), Red Dot Trust Limited (“Red Dot Trust”), RedotX (Tango) Limited (“RedotX”), RedotX Global (Panama) S.A. (“RedotX Panama”), Red Dot Payment Inc. (“Red Dot Payment”) and/or their affiliates, as applicable (together, “Group” or “us”).

  • 1.2 RedotPay Subscription Program enables you to have access to certain features, benefits and enhanced services in exchange for recurring Subscription Fees (each a “Paid Service”).

• 2. SCOPE

  • 2.1 These Terms govern your subscription to and participation in RedotPay Subscription Program and your access to the RedotPay Subscription Program Benefits. Please take the time to read and understand these Terms before subscribing to RedotPay Subscription Program so that you are aware of your legal rights and obligations. By subscribing to RedotPay Subscription Program after completing the subscription process, you are entering into a legally binding contract with the Group and shall be deemed to have expressly read, understood, and agreed to be bound by these Terms.

  • 2.2 These Terms comprise:

    • (a) these general terms and conditions in relation to RedotPay Subscription Program generally;

    • (b) Part A of these Terms, specifically setting out the RedotPay Subscription Program Benefits;

    • (c) these general terms and conditions applicable to your Account under RedotPay Services Terms & Conditions;

    • (d) Our Privacy Policy;

    • (e) any document setting out the Subscription Fees that may apply to RedotPay Subscription Program;

    • (f) any other rules, notifications, guidelines, terms or agreement designated by us from time to time to be part of these Terms; and

    • (g) any supplements, additions, annexures, terms incorporated by reference and/or notices issued by the Group.

  • 2.3 Inconsistency. Subject to the application of any mandatory provisions of any Applicable Law, if there is any inconsistency between any specific terms applicable to a RedotPay Subscription Program Benefit and any other terms of the Terms, the specific terms shall prevail, save for any manifest error.

• 3. PARTICIPATION IN REDOTPAY SUBSCRIPTION PROGRAM

  • 3.1 By subscribing to RedotPay Subscription Program with the Group, you agree to be enrolled by the Group, and the Group agrees to enrol you, as a RedotPay Subscription Program Member in accordance with these Terms.

  • 3.2 Pre-conditions for RedotPay Subscription Program.

    • 3.2.1 We may determine the terms and conditions of RedotPay Subscription Program from time to time, at our sole discretion. To participate in RedotPay Subscription Program, you must open and maintain an Account with us in accordance with the RedotPay Services Terms & Conditions.

    • 3.2.2 Without limiting our rights under Clause 3.2.1, we may refuse to allow your subscription to and/or participation in RedotPay Subscription Program if, in our opinion:

      • (a) an Event of Default has occurred and is continuing;

      • (b) you have provided any incorrect, incomplete or misleading information or made an incorrect or misleading representation or warranty;

      • (c) you have not provided all documents and information requested by us or satisfied any pre-condition imposed by us on RedotPay Subscription Program; or

      • (d) you have not provided sufficient evidence that meets our eligibility criteria for RedotPay Subscription Program.

    • 3.2.3 Without limiting our rights under any other provision contained in these Terms, we may also suspend or refuse to allow your subscription to and/or participation in RedotPay Subscription Program if, in our opinion, your subscription or continued participation may:

      • (a) not comply with Applicable Law, including any AML/CTF requirements;

      • (b) be used to circumvent any Applicable Law, including any AML/CTF requirements;

      • (c) result in us providing Services to a person in a jurisdiction that is the target of country-wide or territory-wide sanctions and such other country or territory in which we may not offer services, as determined by us from time to time; or

      • (d) result in us being associated with a Proscribed Person or Proscribed Address.

  • 3.3 To the extent permitted by Applicable Laws, the Group reserves the right to update, modify, suspend, disable, or restrict access to, or discontinue RedotPay Subscription Program, or any features, components, or content thereof at any time, for operational, legal, regulatory, safety or security reasons, without any liability to you. There is no guarantee that specific services, features, components, or content will always be available.

• 4. SUBSCRIPTION PLANS AND BILLING

  • 4.1 Subscription Plans.

    • (a) RedotPay Subscription Program is available under the following subscription plans:

      • (i) Monthly Subscription: A recurring subscription charged on a monthly basis, with each billing period commencing on the date of your initial subscription and, unless otherwise cancelled by you pursuant to Clause 5 (Cancellation), recurring on the same date of each subsequent calendar month.

      • (ii) Annual Subscription: A recurring subscription charged on an annual basis, with each billing period commencing on the date of your initial subscription and, unless otherwise cancelled by you pursuant to Clause 5 (Cancellation), recurring on the anniversary of such date in each subsequent calendar year.

    • (b) If you are subscribed to a Monthly Subscription, you may at any time upgrade to an Annual Subscription through the App or the Site.

    • (c) Upon upgrading from a Monthly Subscription to an Annual Subscription:

      • (i) the upgrade will take effect immediately upon confirmation of the upgrade on the App or the Site;

      • (ii) you will be charged the applicable Annual Subscription Fee (less a pro-rata credit for any unused portion of your current Monthly Subscription billing period, if applicable and at the Group’s sole discretion); and

      • (iii) your new billing period for the Annual Subscription will commence on the date of the upgrade.

    • (d) The Group reserves the right to adjust the subscription plans and modify, suspend, or discontinue the upgrade option at any time without prior notice.

  • 4.2 Payment Method. You must have a valid, accepted payment method on file in order to subscribe to RedotPay Subscription Program. The Group accepts payment via the payment methods indicated on the App or the Site prior to your subscription. You agree to pay the Subscription Fees for RedotPay Subscription Program in accordance with these Terms.

  • 4.3 Subscription Fees.

    • 4.3.1 The Group will charge you for the Subscription Fees listed for the relevant subscription plan along with any additional amounts relating to bank fees and currency fluctuations (if applicable).

    • 4.3.2 Subscription Fees for RedotPay Subscription Program may change from time to time, for example, to reflect inflation, changes in operating costs, changes in regulatory requirements, changes for promotional offerings, or changes to RedotPay Subscription Program Benefits.

    • 4.3.3 The Group does not provide price protection or refunds in the event of a Subscription Fee reduction or promotional offering.

    • 4.3.4 Any changes to Subscription Fees will be handled pursuant to Clause 13 (Amendment and Variation to These Terms).

  • 4.4 Automatic Renewal. RedotPay Subscription Program subscriptions automatically renew, unless otherwise cancelled by you pursuant to Clause 5 (Cancellation) before the next billing period. You agree that the Group will charge you on the first day of each billing period for the subscription. By subscribing to RedotPay Subscription Program, you authorise the Group to charge the applicable Subscription Fees to your Account, Custodian Account, Virtual Account or other payment method on file automatically at the beginning of each billing period until you cancel your subscription.

  • 4.5 Failed Payments. If the Group is unable to charge you for the next billing period due to insufficient balance in your Account, Custodian Account, Virtual Account or other payment method, you may not be able to access RedotPay Subscription Program until you top up sufficient funds in your Account, Custodian Account, Virtual Account or other payment method on file. Where possible, we will provide you with notice when this happens. If the payment request still fails within a reasonable amount of time following that notice, the Group may cancel your subscription.

  • 4.6 Taxes. All applicable Subscription Fees listed on the App and the Site are exclusive of any applicable taxes.

• 5. CANCELLATION

  • 5.1 Cancellation by You. You may cancel your RedotPay Subscription Program subscription at any time before the end of the current billing period through the App or the Site. The cancellation will take effect at the end of that billing period.

  • 5.2 Access Following Cancellation. You will retain access to RedotPay Subscription Program and the RedotPay Subscription Program Benefits from the time you cancel until the end of the current billing period.

  • 5.3 No Refunds. All Subscription Fees paid shall generally be non-refundable. You will not receive a refund or credit for any remaining days in your current billing period upon your voluntary cancellation of your subscription plan, regardless of when within the billing period you cancel.

  • 5.4 Cancellation by the Group. The Group reserves the right to restrict, pause, or cancel your access to RedotPay Subscription Program (including any promotional offers) as well as refuse subscriptions to RedotPay Subscription Program, including taking appropriate action (such as suspension of your Account) for any violation of these Terms, the RedotPay Services Terms & Conditions, Applicable Laws or Group’s internal policies.

  • 5.5 Consequences Following Cancellation. Upon cancellation of your RedotPay Subscription Program subscription for any reason:

    • (a) you may continue to access the RedotPay Subscription Program and the RedotPay Subscription Program Benefits until the end of your current billing period, after which your access will automatically terminate;

    • (b) any accrued but unused Benefits (including any accumulated cashback rewards (if any) that have not yet vested) may be forfeited at the Group’s reasonable discretion; and

    • (c) any accrued rights or liabilities of a party shall not be affected.

• 6. LICENCE

  • 6.1 After subscribing to RedotPay Subscription Program and paying the applicable Subscription Fees, you may access and use the RedotPay Subscription Program Benefits, for your personal, non-commercial use only, and as long as you comply with these Terms, the RedotPay Services Terms & Conditions and Applicable Law.

  • 6.2 Your licence to access and use RedotPay Subscription Program (including any benefits offered through RedotPay Subscription Program) is non-exclusive, non-transferable and revocable. All rights, title and interest in RedotPay Subscription Program not expressly granted to you in these Terms are reserved by the Group and its licensors.

  • 6.3 RedotPay Subscription Program is designed to be used by one user only. You may not share your Account credentials with any other person to allow them to access RedotPay Subscription Program Benefits that they did not subscribe to. 

• 7. THE APP AND SITE

  • 7.1 The functions of the App or Site, which may change from time to time without notice to you at the Group’s sole discretion, allow you to perform one or more of the following actions (as applicable) in connection with RedotPay Subscription Program, including but not limited to:

    • (a) subscribe to RedotPay Subscription Program;

    • (b) update your subscription plan from monthly subscription to annual subscription;

    • (c) view your Subscription History;

    • (d) view and track your RedotPay Subscription Program Benefits;

    • (e) request for cancellation of your subscription; and

    • (f) any other functions provided on the App or Site by the Group from time to time. 

  • 7.2 Subject always to your continuing compliance with these Terms, the Group will grant to you a limited, non-transferable, non-exclusive licence to use the App and Site insofar as owned by or licensed through the Group on your Enabled Device and only for your own purposes, on and subject to these Terms. All other rights not expressly granted to you are reserved.

• 8. YOUR DEVICE

  • 8.1 You acknowledge and agree that, in connection with your use of the App and Site for RedotPay Subscription Program, you shall be responsible for the following, at your own cost:

    • (a) obtaining all necessary hardware, software and communications services necessary for your use of the App and Site in accordance with these Terms;

    • (b) installing antivirus or other mobile security software on your Enabled Device to protect against any security or other vulnerabilities which may arise in connection with your use of the App and Site in accordance with these Terms; and

    • (c) installing updates and patches for the App, Site and your Enabled Device in a prompt and timely manner.

  • 8.2 Without prejudice to the foregoing and any other terms in these Terms, you shall be solely responsible and liable for any access to and use of the App and Site and participation in RedotPay Subscription Program through your Enabled Device, notwithstanding that such access may have been effected without your knowledge, authority or consent. The Group shall not be liable to you for any loss or damage resulting from such use.

• 9. RIGHTS OF NETTING, SET-OFF AND LIEN

  • 9.1 If, on any day, you and we have payment and delivery obligations, then we may elect for such amount to be delivered, on a net basis so that such obligations will be automatically satisfied and discharged. If the aggregate amount that would otherwise have been payable by one party exceeds the aggregate amount that would otherwise have been payable by the other party, such payment and delivery obligations will be replaced by an obligation upon the party by which the larger aggregate amount would have been payable to pay to the other party the excess of the larger aggregate amount over the smaller aggregate amount.

  • 9.2 In addition to our rights under Clause 9.1, we may, at any time during the course of or following the termination of these Terms and without notice to you, set off any amount or other obligation due from you to the Group (including any outstanding Subscription Fees) against sums due from the Group to you (including any cashback rewards (if any)), whether or not the obligation is matured or contingent and irrespective of the currency, asset or place of payment. Any amounts that are so set off will be discharged promptly and in all respects. If, after such set-off, a balance of account is due and payable by you to the Group:

    • (a) you authorise the Group to apply or appropriate all or part of your balance in the Account (and where relevant including the Custodian Account) to meet such amount; and

    • (b) if there is a shortfall following the application of any set-off pursuant to Clause 9.2(a) above, you will immediately pay to the Group an amount equal to such shortfall.

  • 9.3 We are entitled to exercise a general lien over any or all of your property which (for any reason) is in or comes into our possession or control, except that this lien does not cover any property where it may give rise to any obligation to disclose an interest on our part. We have the right to sell such property and apply the proceeds of sale, after deduction of reasonable costs, to satisfy any amount you owe us.

  • 9.4 For the purposes of this Clause 9, we may make any necessary currency or asset conversions at the rate(s) we reasonably consider appropriate.

  • 9.5 Our rights under this Clause 9 are in addition to any other right of set-off, offset, combination of accounts, lien, right of retention or withholding or similar right or requirement to which we are at any time otherwise entitled or subject, whether under these Terms or by operation of Applicable Law.

• 10. RECORDS

  • 10.1 You acknowledge and agree that in the event of any dispute arising in connection with your subscription to RedotPay Subscription Program, our records (including electronic, computer and microfilm stored records) of all matters relating to your subscription and/or of you (including Subscription History) at any specified date shall be conclusive of their accuracy and authenticity and shall be binding on you for all purposes whatsoever. In addition, you agree to the admissibility of such documents without further requirement of proof of authenticity or accuracy in a court of law under applicable evidentiary law, rules and/or regulations.

• 11. LIMITATION OF LIABILITY

  • 11.1 Except as expressly provided in these Terms, to the fullest extent permitted by the Applicable Laws, we disclaim all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise (regardless of any course of dealing, custom or usage of trade) of any service or any goods provided incidental to RedotPay Subscription Program under these Terms. Our liability in respect of representations and warranties that cannot be excluded is limited, at our option, to any one of: (i) re-supplying, replacing or repairing the services in respect of which the breach occurred or (ii) paying the cost of the re-supplying, replacement or repairing of the services in respect of which the breach occurred.

  • 11.2 Notwithstanding anything in these terms, to the extent permitted by Applicable Law, in no event shall the Group or any of its representatives be liable to you for any losses or damage or claims: 

    • (a) due to an unusual or unforeseeable event, outside the reasonable control of us and the consequences of which could not have been avoided even if all due care had been exercised (including but not limited to force majeure, events of war or civil unrest, natural disasters, strike, lock-out, traffic disruption, acts of domestic or foreign governmental authorities);

    • (b) arising from or in connection with:

      • (i) any delay, suspension, discontinuance or failure of the App, the Site or RedotPay Subscription Program; 

      • (ii) any rejection of your participation in the RedotPay Subscription Program; 

      • (iii) any refusal to process or authorise any transaction or withdrawal for any reason; 

      • (iv) your inability to participate in RedotPay Subscription Program due to system maintenance or breakdown / non-availability of the App, Site, network, our hardware or software or that of any third parties; 

      • (v) use of your Enabled Device and RedotPay Subscription Program by third parties, whether authorised or unauthorised by you; and

      • (vi) any theft or loss of your Enabled Device; 

    • (c) caused by us due to compliance with applicable laws, court orders, and/or network rules; and

    • (d) arising out of or in connection with these terms for lost profits, lost revenues, lost business opportunities, exemplary, punitive, special, incidental, indirect or consequential damages, each of which is hereby excluded by agreement of the parties to these terms, regardless of whether such damages were direct or indirect, foreseeable or unforeseeable, or whether we have been advised of the possibility of such damages.

  • 11.3 In any case, the total liability of the Group arising out of or in connection with the provision of any service under these Terms shall be limited to your aggregate Subscription Fees as of the date your claim arises.

  • 11.4  The Group shall not be liable for any fault on the part of any third-party service providers instructed by us. In such cases, the Group's liability shall be limited to using reasonable care in the selection, appointment and instruction of such third-party service providers (but not of any sub-contractor or other third-party such third-party service provider may use).

  • 11.5 Nothing in these Terms shall operate to limit or exclude any liability for fraud or for death or personal injury resulting from negligence.

• 12. INDEMNIFICATION

  • 12.1 You agree to indemnify and hold the Indemnified Parties, harmless from any claim or demand (including attorneys’ fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (i) your breach of these Terms; (ii) your use of the App or the Site and your participation in the RedotPay Subscription Program; (iii) your violation of any rule or regulation, or the rights of any third-party; and (iv) any transactions resulting from your wilful default, fraud, gross negligence or breach of these Terms.

• 13. AMENDMENT AND VARIATION TO THESE TERMS

  • 13.1 We may unilaterally change these Terms from time to time, for example, to reflect changes to RedotPay Subscription Program or how we do business, for legal, regulatory, safety or security reasons, or to prevent abuse or harm, with reasonable notice posting on the App and/or the Site (except in urgent situations, such as preventing ongoing abuse or responding to legal requirements). Unless otherwise stated, the updated Terms will take effect from the date they are posted on the App and/or the Site. You should regularly check the App and the Site to inform yourself of any such changes.

  • 13.2 If we change these Terms that may affect you in a material aspect, we will provide you with reasonable advance notice, and the new Terms will be effective after such notice period. 

    • (a) Your express consent to such changes before the end of the notice period, or continued subscription to RedotPay Subscription Program after the end of the notice period, without cancelling your subscription in accordance with Clause 5 (Cancellation), will indicate your acceptance of the new Terms. The new Terms will immediately apply to your use of all RedotPay Subscription Program Benefits and all subsequent billing periods, save that, for the avoidance of doubt, in the case of any change to the Subscription Fees, the new Subscription Fees will apply to the subsequent billing periods.

    • (b) If you expressly object to such changes before the end of the notice period, you are deemed to have cancelled your subscription in accordance with Clause 5, in which case the version of the Terms that you previously accepted will continue to apply to your subscription until the end of your current billing period. For the avoidance of doubt, in the case of any change to the Subscription Fees, if you do not wish to continue RedotPay Subscription Program at the new Subscription Fee, you may alternatively cancel your subscription before the start of the next billing period in which the new Subscription Fee applies, by following the steps in Clause 5 (Cancellation).

• 14. ASSIGNMENT AND SUBCONTRACTING

  • 14.1 These Terms, and any rights and licences granted hereunder, are personal to you and may not be transferred or assigned by you, but may be assigned by the Group without restriction, including without limitation to any of the Group’s affiliates or subsidiaries, or to any successor in interest of any business associated with RedotPay Subscription Program. Any attempted transfer or assignment in violation hereof shall be null and void.

• 15. SEVERABILITY

  • 15.1 If any provision of these Terms shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. Such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any Applicable Laws.

• 16. ENTIRE AGREEMENT AND LANGUAGE

  • 16.1 These Terms constitute the entire agreement between you, on the one hand, and the Group, on the other, with regard to its subject matter and supersede and invalidate all other prior representations, arrangements, understandings, and agreements relating to the same subject matter (whether oral or in writing, express or implied). Each party acknowledges that in agreeing to these Terms it does not rely on any statement, representation, warranty, or understanding other than those expressly set out in these Terms.

  • 16.2 These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English. If these Terms or any part of them are translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail.

• 17. WAIVER

  • 17.1 These Terms shall be waived in whole or in part only with the written consent of the Group.

  • 17.2 The delay of enforcement or the non-enforcement of any of the terms of these Terms by the Group shall not be construed as a waiver of any of the other rights of the Group arising out of the breach or any subsequent breach of any of these Terms and no right, power or remedy conferred upon or reserved for the Group in these Terms is exclusive of any other right, power or remedy available to the Group and each such right, power or remedy shall be cumulative.

• 18. NOTICES AND COMMUNICATIONS

  • 18.1 By subscribing to RedotPay Subscription Program, you agree that the Group, its related corporations, third-party service providers, contractors or sub-contractors may provide you with any notices or other communications relating to your subscription to and participation in RedotPay Subscription Program electronically: (a) via email (to the address that you provide), SMS message, or telephone call (to the phone number that you provide), or (b) by posting to the Site or the App. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

  • 18.2 We prefer receiving notices to us electronically through our support system at support@redotpay.com.

• 19. THIRD PARTY RIGHTS

  • 19.1 These (together with any other agreements subject to or connected with these) Terms and documents that confer benefits on Indemnified Parties are intended to be enforceable by each Indemnified Party by virtue of the Contracts (Rights of Third Parties) Ordinance (Cap. 623 of the Laws of Hong Kong). The parties to these Terms do not intend that any term of these Terms should be enforceable, by virtue of the Contracts (Rights of Third Parties) Ordinance (Cap. 623 of the Laws of Hong Kong), by any person other than an Indemnified Party. Notwithstanding the provisions of this Clause, these (and any other agreements subject to these) Terms may be rescinded or varied in any way and at any time by the Group and you without the consent of any Indemnified Parties.

• 20. GOVERNING LAW AND SUBMISSION TO ARBITRATION

  • 20.1 These Terms shall be governed by and construed in accordance with the laws of Hong Kong.

  • 20.2 Unless otherwise specified, any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to these Terms, will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.

  • 20.3 You and we agree that:

    • (a) the law of this Clause is Hong Kong law;

    • (b) the seat of arbitration will be Hong Kong;

    • (c) unless you and we agree otherwise, the number of arbitrators will be one (1) and that the arbitrator must have relevant legal and technological expertise;

    • (d) if you and we do not agree on the arbitrator to be appointed within fifteen (15) business days of the dispute proceeding to arbitration, the arbitrator is to be appointed by HKIAC; and

    • (e) the arbitration proceedings will be conducted in English.

  • 20.4 Notwithstanding any other provision of these Terms, you agree that we have the right to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

PART A. REDOTPAY SUBSCRIPTION PROGRAM BENEFITS

• 21. OVERVIEW

  • 21.1 As a RedotPay Subscription Program Member, you shall be entitled to the following benefits (“RedotPay Subscription Program Benefits”), subject to these Terms and any applicable terms and conditions set out on the App or the Site and to the extent permitted under the Applicable Laws, including without limitation: 

    • (a) fee waiver or discounts in relation to the issuance of RedotPay Cards; 

    • (b) cashback rewards on qualifying Card Transactions made using Apple Pay or Google Pay during your active subscription period; 

    • (c) monthly quota for free ATM withdrawal allowance; and

    • (d) enhanced annual percentage yields on the Crypto Earn Services. 

 The specific benefits, conditions and terms in relation to each RedotPay Subscription Program Benefit will be set out on the App or the Site from time to time.

• 21.2 Upon cancellation or termination of your subscription of RedotPay Subscription Program, any pending RedotPay Subscription Program Benefits that have not yet vested pursuant to the specific terms on the App or the Site may be forfeited.

• 21.3 The Group may offer different benefits for RedotPay Subscription Program from time to time at its sole and absolute discretion. The Group may introduce new benefits or vary or withdraw any benefit without prior notice. The Group has the right to set, exclude or withdraw any Account which may be linked or used in connection with any RedotPay Subscription Program Benefit.

• 21.4 RedotPay Subscription Program Benefits are personal to you and are non-transferable. You may not sell, trade, or otherwise transfer any RedotPay Subscription Program Benefits to any third party.

• 22. RESTRICTIONS

  • 22.1 The availability, terms and value of RedotPay Subscription Program Benefits may vary depending on your subscription plan (Monthly Subscription or Annual Subscription), your country of residence, and other factors as determined by the Group in its sole discretion.

  • 22.2 You agree that certain RedotPay Subscription Program Benefits may only be available in certain countries and be offered by different entities of the Group. You agree that you will not present any false, inaccurate or misleading information in an effort to misrepresent your country of residence, and you will not attempt to circumvent any restrictions on access to or availability of a RedotPay Subscription Program Benefit.

  • 22.3 Your use of and access to a RedotPay Subscription Program Benefit should be used from the country or territory where you signed up for that RedotPay Subscription Program. Accessing or using any RedotPay Subscription Program Benefit predominantly outside of that country, or attempting to misrepresent your sign-up country, is a violation of the Terms and may result in suspension or termination of your access to the RedotPay Subscription Program. If you move to a new country, you may be required to re-subscribe to the RedotPay Subscription Program there to maintain your access, subject to a RedotPay Subscription Program Benefit’s availability, pricing, and feature offerings in that new country. 

  • 22.4 When you use a RedotPay Subscription Program Benefit, you may not (or attempt to):

    • (a) use the RedotPay Subscription Program Benefit in an illegal manner, or for an illegal purpose;

    • (b) share your Account password or keys with someone else to allow them to access any RedotPay Subscription Program Benefit they did not order;

    • (c) copy, sell, rent, or sublicense the RedotPay Subscription Program Benefit to any third party;

    • (d) circumvent, reverse engineer, modify, disable, or otherwise tamper with any security technology that we use to protect the RedotPay Subscription Program Benefit or encourage or help anyone else to do so; or

    • (e) access the RedotPay Subscription Program Benefit other than by means authorized by us.

PART B. DEFINITIONS

• 23. DEFINITIONS

  • 23.1 In these Terms, except where the context otherwise requires, the following words and expressions have the following meanings:

“Account”	means the account established in respect of the Services under the RedotPay Services Terms & Conditions;
“AML/CTF”	means anti-money laundering and counter-terrorism financing;
“Annual Subscription”	means a recurring subscription to RedotPay Subscription Program charged on an annual basis;
“App”	means the RedotPay mobile application;
“Applicable Law”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Card Transaction”	means a transaction effected using a RedotPay Card;
“Crypto Earn Services”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Custodian Account”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Enabled Device”	means the mobile communications or other device successfully registered by you for use in connection with the App and Services;
“Event of Default”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Indemnified Parties”	means the Group, any of its affiliates, and each of their respective directors, officers, employees, agents, contractors and sub-contractors;
“Monthly Subscription”	means a recurring subscription to RedotPay Subscription Program charged on a monthly basis;
“Proscribed Address”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Proscribed Person”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“RedotPay Card”	means the RedotPay crypto card, available as either a virtual or physical card, which is provided to you by the Group;
“RedotPay Subscription Program”	means the paid membership program governed by these Terms;
“RedotPay Subscription Program Benefits”	has the meaning ascribed to the term in Clause 21.1;
“RedotPay Subscription Program Member” or “you”	means a user who has an active subscription to RedotPay Subscription Program in accordance with the Terms;
“Services”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;
“Site”	means the RedotPay website at www.redotpay.com or such other website as may be notified by the Group from time to time;
“Subscription Fees”	means the fees payable by you to subscribe to RedotPay Subscription Program, as set out on the App or the Site from time to time;
“Subscription History”	means the history of your RedotPay Subscription Program subscription, including billing dates, Subscription Fees paid, and Benefits utilised;
“Virtual Account”	has the meaning ascribed to the term in the RedotPay Services Terms & Conditions;

• 23.2 In these Terms, except where the context otherwise requires:

  • (a) words importing the singular shall include the plural and vice versa;

  • (b) words importing a gender include every gender;

  • (c) references to persons shall include bodies corporate, unincorporated associations and partnerships;

  • (d) references to a Party are to a party to these Terms and references to Parties are to all the parties to these Terms;

  • (e) a reference to any statutory provision shall be deemed also to be a reference to any statutory modification or re-enactment thereof;

  • (f) any phrase introduced by the term “including”, “include”, “in particular” or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding that term;

  • (g) any reference to “day” shall be a reference to a calendar day unless expressed to the contrary;

  • (h) any reference to “month” shall be a reference to a calendar month unless expressed to the contrary;

  • (i) any reference to “year” shall be a reference to a calendar year unless expressed to the contrary;

  • (j) unless otherwise provided, any reference to any time of day shall be a reference to Hong Kong time;

  • (k) “property” or “asset” includes any present or future, real or personal, tangible or intangible property, asset or undertaking and any right, interest or benefit under or arising from it; 

  • (l) any thing (including any amount or Service) includes each part and/or feature of it; and

  • (m) capitalised terms not otherwise defined under Part B of these Terms shall have the meanings given to them in the RedotPay Services Terms & Conditions.

• 23.3 Headings. Headings should be disregarded in the interpretation of these Terms.
