THIS IS AN IMPORTANT DOCUMENT. PLEASE READ IT CAREFULLY.

These terms and conditions ("Terms") contain important information which applies to your dealings with us in relation to RedotPay Loyalty Rewards Program (as defined below). You should read these Terms carefully. Further additional terms and conditions may apply. Any such terms and conditions are additional to the terms set out in these Terms.

You should not construe these or any other statements in these Terms as legal, tax or financial advice. We are not acting as your financial adviser and you must not regard us as acting in that capacity. You should consult your own independent professional advisers before entering into any transaction and only enter into a transaction if you have fully understood its nature, the contractual relationship into which you are entering and all relevant terms and conditions.

GENERAL TERMS AND CONDITIONS

• 1. INTRODUCTION

  • 1.1 RedotPay Loyalty Rewards Program is a complimentary rewards program provided exclusively by RedotX (South Africa) S.A. (Pty) Ltd ("RedotX SA"), in collaboration with other RedotPay group companies (together, "Group" or "us").

  • 1.2 RedotPay Loyalty Rewards Program enables eligible users to earn Points as rewards for their loyalty and active engagement with the Group's services. Points are intended primarily for redeeming in-app functionalities and other virtual benefits within the RedotPay ecosystem.

• 2. SCOPE

  • 2.1 By participating in RedotPay Loyalty Rewards Program, you acknowledge and agree that you will be bound by and will comply with these Terms in relation to RedotPay Loyalty Rewards Program, as updated and amended from time to time. By accessing and/or participating in RedotPay Loyalty Rewards Program, you agree that you have read and understood these Terms, together with any additional documents or terms referred to in these Terms. If you do not understand and accept these Terms in their entirety, you should not participate in RedotPay Loyalty Rewards Program.

  • 2.2 These Terms comprise:

    • (a) these general terms and conditions in relation to RedotPay Loyalty Rewards Program generally, including the rules relating to earning, using and managing Points;

    • (b) the general terms and conditions applicable to your Account under RedotPay Services Terms & Conditions;

    • (c) Our Privacy Policy;

    • (d) any other rules, notifications, guidelines, terms or agreement designated by us from time to time to be part of these Terms; and

    • (e) any supplements, additions, annexures, terms incorporated by reference and/or notices issued by the Group.

  • 2.3 Inconsistency. Subject to the application of any mandatory provisions of any Applicable Law, if there is any inconsistency between any specific terms applicable to a particular feature or activity under RedotPay Loyalty Rewards Program and any other terms of the Terms, the specific terms shall prevail, save for any manifest error.

• 3. PARTICIPATION IN REDOTPAY LOYALTY REWARDS PROGRAM

  • 3.1 Participation in RedotPay Loyalty Rewards Program is free of charge. For the avoidance of doubt, RedotPay Loyalty Rewards Program is provided exclusively by RedotX SA, and references to the "Group" in these Terms are to the entities that may support, facilitate, or collaborate with RedotX SA in the operation of the program but shall not be construed as the provider of the program.

  • 3.2 Pre-conditions for RedotPay Loyalty Rewards Program.

    • (3.2.1) We may determine the terms and conditions of RedotPay Loyalty Rewards Program from time to time, at our sole discretion. To participate in RedotPay Loyalty Rewards Program, you must open and maintain an Account with us in accordance with the RedotPay Services Terms & Conditions.

    • (3.2.2) Without limiting our rights under Clause 3.2.1, we may refuse to allow your participation in RedotPay Loyalty Rewards Program if, in our opinion:

      • (a) an Event of Default has occurred and is continuing;

      • (b) you have provided any incorrect, incomplete or misleading information or made an incorrect or misleading representation or warranty;

      • (c) you have not provided all documents and information requested by us or satisfied any pre-condition imposed by us on RedotPay Loyalty Rewards Program; or

      • (d) you have not provided sufficient evidence that meets our eligibility criteria for RedotPay Loyalty Rewards Program.

  • 3.3 Without limiting our rights under any other provision contained in these Terms, we may also suspend or refuse to allow your participation in RedotPay Loyalty Rewards Program if, in our opinion, your participation or continued participation may:

    • (a) not comply with Applicable Law, including any AML/CTF requirements;

    • (b) result in us providing Services to a person in a jurisdiction that is the target of country-wide or territory-wide sanctions and such other country or territory in which we may not offer services, as determined by us from time to time; or

    • (c) result in us being associated with a Proscribed Person or Proscribed Address.

• 4. NATURE OF POINTS

  • 4.1 Points are free virtual rewards provided by RedotX SA to recognise your loyalty and active engagement with the Group's services. Points are gratuitous rewards granted at RedotX SA's sole discretion. Users have no entitlement to receive Points, and RedotX SA's decision to award, adjust, or withdraw Points shall be final. Points are not, and shall not be construed as, money, funds, stored value, e-money, digital assets, cryptocurrency, stablecoins, securities, or any other form of financial instrument or property. Points are provided at no cost to users and carry no cash value.

  • 4.2 Ownership of Points at all times remains with RedotX SA. Users are granted a limited, revocable and non-transferable licence to use Points in accordance with these Terms.

  • 4.3 RedotX SA retains the sole and absolute right to define and dynamically adjust the attributes, scope of use, exchange rules, earning ratios and any other aspects of Points from time to time, without prior notice. You acknowledge and accept that such rules may be updated and the prevailing rules as published on the App or the Site shall apply. For the avoidance of doubt, routine adjustments to earning ratios, redemption rates, or available benefits under this Clause 4.3 shall not constitute a discontinuation or material modification of RedotPay Loyalty Rewards Program requiring advance notice to you.

  • 4.4 Points cannot be exchanged for cash, stablecoins, digital assets, or any other form of monetary consideration. Points cannot be withdrawn from the App, transferred to any other person, sold, traded, bartered, or otherwise disposed of.

• 5. EARNING POINTS

  • 5.1 Overview. You may earn Points free of charge through the following activities, subject to these Terms and any applicable terms and conditions set out on the App or the Site and to the extent permitted under the Applicable Laws:

    • (a) Spending: You may earn Points by using the RedotPay Card or other designated payment instruments of the Group to make bona fide purchases of goods and services and completing settlement. Points will be awarded based on the actual amount paid in accordance with the prevailing earning ratio as published on the App or the Site from time to time. The specific earning ratio shall be subject to dynamic adjustment by RedotX SA, and the actual number of Points credited to your Account shall prevail.

    • (b) Referral Rewards: You may earn Points by successfully referring new users to register for a RedotPay Account through your referral code or link, subject to the prevailing referral terms and conditions as published on the App or the Site from time to time.

    • (c) Task Rewards: You may earn Points by completing designated tasks published on the App or the Site from time to time. The reward criteria shall be determined by the task descriptions in effect at the time of publication.

    • (d) Promotional Activities: You may earn Points by participating in promotional activities, campaigns, or events organised by RedotX SA from time to time, subject to the specific terms and conditions of each activity.

  • 5.2 Earning Exclusions. The following types of transactions or activities shall not earn Points:

    • (a) transactions that are unposted, cancelled, reversed or refunded (including tax refunds on purchases) in whole or in part;

    • (b) gambling, betting, or lottery-related transactions;

    • (c) any transaction that RedotX SA determines, in its sole discretion, is not a bona fide purchase of goods or services; and

    • (d) any other categories of transactions as may be specified from time to time on the App or the Site.

  • 5.3 Crediting of Points. Points will typically be credited to your Account in real time after the relevant transaction or task has been completed and confirmed by the system. However, in certain risk monitoring scenarios, the crediting time may be delayed. The actual number of Points credited shall be determined by the Group's system and shall be final and binding. RedotX SA has the right not to award or allow you to use Points unless your Account is valid and in good standing.

  • 5.4 Data Precision. Points calculations shall support up to two (2) decimal places, with the minimum unit of change being 0.01 Points. Any minor discrepancies arising from exchange rate conversions or system rounding shall be determined by the final amount credited by the system.

  • 5.5 Earning Thresholds and Caps. The earning of Points through Card Transactions is subject to the following conditions, as may be adjusted by RedotX SA from time to time at its sole discretion:

    • (a) Minimum Earning Threshold: Points shall only be awarded for a Card Transaction where the aggregate of the order amount and applicable transaction fees equals or exceeds the minimum threshold as specified by RedotX SA from time to time on the App or the Site. Transactions below the prevailing minimum threshold shall not earn Points.

    • (b) Daily Account Cap: RedotX SA may impose a daily cap on the number of Points that may be earned per Account through Card Transactions. This daily cap at this stage applies exclusively to Points earned through spending under Clause 5.1(a).

    • (c) Parameter Adjustments: The parameters of the minimum earning threshold and daily account cap (including the specific values thereof) may be adjusted by RedotX SA at any time without prior notice. The prevailing parameters as published on the App or the Site shall apply.

  • 5.6 RedotX SA may offer different earning activities, earning ratios and earning caps for RedotPay Loyalty Rewards Program from time to time at its sole and absolute discretion. RedotX SA may introduce new earning methods or vary or withdraw any earning method without prior notice. RedotX SA also has the right to specify and vary from time to time the types of spending or activities that do not earn Points.

• 6. USING POINTS

  • 6.1 Points serve as a benefit medium within the RedotPay ecosystem. Points are primarily intended for redeeming in-app functionalities and virtual benefits, which include but are not limited to the following:

    • (a) In-app Functionalities and Virtual Benefits: Points may be redeemed for fee discount coupons, limited-time access to features, digital merchandise, or other virtual benefits as made available on the App or the Site from time to time.

    • (b) Activity Participation: Points may be used or redeemed to obtain entry qualifications for interactive activities or simulated competitions organised by RedotX SA from time to time.

    • (c) Ecosystem Value: As the RedotPay ecosystem develops, Points may serve as a reference for membership tier assessment (such as for RedotPay Subscription Program), priority access rights, or third-party partner benefit exchanges, as determined by RedotX SA from time to time.

    • (d) Further Developments: RedotX SA reserves the right to continuously develop new use cases for Points. All new features will be communicated to users via announcements or in-app guidance.

  • 6.2 Specific terms and conditions in relation to a particular use of the Points or benefit granted by the Points may be published on the App or the Site from time to time ("Point Use Specific Terms"). In the event of any inconsistency between the Point Use Specific Terms and these Terms, the Point Use Specific Terms shall prevail.

  • 6.3 Unless otherwise specified in the relevant Point Use Specific Terms, certain prizes, rewards, benefits, or activities available through Points redemption may be subject to limited availability and allocated on a first-come, first-served or while-stocks-last basis. Neither RedotX SA nor the Group has any obligation to provide replacement rewards once the applicable quota or availability has been exhausted. Prizes, rewards or benefits shall be credited or delivered in the manner and by the date specified in the relevant Point Use Specific Terms. You have no right to claim or demand that any prize, reward or benefit be delivered or converted into cash, stablecoins, digital assets, or any other form of monetary consideration. Notwithstanding the foregoing, RedotX SA reserves the right, at its sole and absolute discretion, to deliver any prize, reward or benefit in the form of cash or the equivalent value in stablecoins, digital assets, or any other form of monetary consideration, without conferring upon you the right to request such form of delivery. RedotX SA reserves the right to replace any prize, reward or benefit with another prize, reward or benefit of comparable or greater value at any time.

  • 6.4 All information, images, descriptions, and promotional materials relating to prizes, rewards, benefits, or activities available through Points redemption published on the App, the Site, or any other medium are for illustrative and reference purposes only and do not form part of any offer, warranty, or representation by the Group. RedotX SA reserves the right to update such materials at any time without prior notice.

  • 6.5 Once a Point has been redeemed, used or spent, the corresponding Points shall be immediately deducted from your Account and irrevocably consumed. You are not allowed to change, cancel, seek refund on, or reverse any redemption of Points. Points are personal to you and are non-transferable, non-refundable and not for sale. You may not sell, trade, or otherwise transfer any Points or any benefit derived from Points to any third party.

• 7. REVERSE DEDUCTION AND NEGATIVE BALANCE

  • 7.1 Refund Clawback. If a transaction for which Points were earned is subsequently refunded, reversed, or otherwise cancelled, the Group has the right to automatically deduct the corresponding Points from your Account based on the refunded amount.

  • 7.2 Negative Balance. If the number of Points to be deducted pursuant to Clause 7.1 exceeds the available Points balance in your Account, the Account balance shall display a negative figure.

  • 7.3 Offset of Negative Balance. When your Account is in a negative Points balance, any Points subsequently earned by you through any means shall be automatically and preferentially applied to offset the negative balance. You may only exercise your right to use Points after the Account balance has returned to a positive figure.

  • 7.4 Restrictions during Negative Balance. RedotX SA reserves the right to restrict users with a negative Points balance from participating in certain activities or from accessing certain features of the App or the Services.

• 8. EXPIRY OF POINTS

  • 8.1 Validity Period. Each batch of Points earned shall have a validity period of twelve (12) calendar months from the end of the calendar month of crediting, subject to a monthly rolling expiry mechanism. For example, all Points earned during the calendar month of April 2026 (regardless of the specific date of crediting within that month) shall expire on 1 May 2027 at 00:00 (UTC+8), if unspent.

  • 8.2 Time Standard. All Points-related accounting times, including crediting times and expiry times, shall be determined by reference to Coordinated Universal Time plus eight hours (UTC+8).

  • 8.3 First-In-First-Out Principle. When you use or redeem Points, the system shall automatically deduct Points on a first-in-first-out ("FIFO") basis, prioritising those that were credited earliest and have the nearest expiry date. Upon redemption, the relevant Points shall be immediately deducted from your Account and irrevocably consumed.

  • 8.4 Automatic Expiry. Points that have not been used before the expiry date shall be automatically forfeited at 00:00 (UTC+8) on the expiry date. You acknowledge and agree that once Points have expired, neither RedotX SA nor the Group shall have any obligation to compensate, restore, or replace such expired Points.

  • 8.5 Expiry Reminders. The Group will endeavour to remind you of Points nearing expiry through in-app push notifications, the message centre, or email. However, you are responsible for monitoring your own Points balance and expiry dates. Any failure by the Group to provide such reminders shall not give rise to any liability on the part of the Group or any obligation to extend the validity of such Points.

• 9. PROHIBITED CONDUCT

  • 9.1 You are strictly prohibited from obtaining Points through any fraudulent, improper, or deceptive means, including but not limited to:

    • (a) creating fictitious or sham transactions;

    • (b) maliciously exploiting system vulnerabilities, software bugs, or technical errors;

    • (c) bulk registration of accounts for the purpose of accumulating Points;

    • (d) using any automated scripts, bots, or similar tools to earn Points;

    • (e) colluding with third parties to manipulate the earning or redemption of Points; or

    • (f) any other conduct that RedotX SA considers, in its sole discretion, to be abusive, fraudulent, or inconsistent with the purpose of RedotPay Loyalty Rewards Program.

    (collectively, "Prohibited Conduct")

  • 9.2 Upon discovery of any Prohibited Conduct, RedotX SA has the right to take such measures as it deems appropriate, including but not limited to:

    • (a) voiding or forfeiting all Points obtained through Prohibited Conduct;

    • (b) deducting any benefits already obtained through such Points;

    • (c) suspending or disabling the Points function on your Account; and/or

    • (d) causing your Account to be permanently closed.

  • 9.3 If any Prohibited Conduct causes loss to the Group, the Group reserves the right to pursue further legal action and claim damages from you.

  • 9.4 RedotX SA has the right to forfeit or cancel any accumulated Points and/or terminate your Account if, in its reasonable opinion, there is fraud or abuse relating to the earning, holding, redeeming or using of Points.

• 10. RESTRICTIONS

  • 10.1 The availability, terms and value of RedotPay Loyalty Rewards Program activities may vary depending on your country of residence and other factors as determined by RedotX SA in its sole discretion.

  • 10.2 You agree that certain features of RedotPay Loyalty Rewards Program may only be available in certain countries. You agree that you will not present any false, inaccurate or misleading information in an effort to misrepresent your country of residence, and you will not attempt to circumvent any restrictions on access to or availability of any feature of RedotPay Loyalty Rewards Program.

  • 10.3 When you participate in RedotPay Loyalty Rewards Program, you may not (or attempt to):

    • (a) use RedotPay Loyalty Rewards Program in an illegal manner, or for an illegal purpose;

    • (b) share your Account password or keys with someone else to allow them to participate in RedotPay Loyalty Rewards Program or access any benefits they are not entitled to;

    • (c) copy, sell, rent, or sublicense any benefit derived from RedotPay Loyalty Rewards Program to any third party;

    • (d) circumvent, reverse engineer, modify, disable, or otherwise tamper with any security technology that we use to protect RedotPay Loyalty Rewards Program or encourage or help anyone else to do so; or

    • (e) access RedotPay Loyalty Rewards Program other than by means authorised by us.

• 11. THE APP AND SITE

  • 11.1 The functions of the App or Site, which may change from time to time without notice to you, allow you to perform one or more of the following actions (as applicable) in connection with RedotPay Loyalty Rewards Program, including but not limited to:

    • (a) view your Points balance and Points transaction or use history;

    • (b) view and track available activities, tasks and offers for earning Points;

    • (c) redeem Points for in-app functionalities or virtual benefits; and

    • (d) any other functions provided on the App or Site from time to time.

  • 11.2 Subject always to your continuing compliance with these Terms, the Group will grant to you a limited, non-transferable, non-exclusive licence to use the App and Site insofar as owned by or licensed through the Group on your Enabled Device and only for your own purposes, on and subject to these Terms. All other rights not expressly granted to you are reserved.

• 12. YOUR DEVICE

  • 12.1 You acknowledge and agree that, in connection with your use of the App and Site for RedotPay Loyalty Rewards Program, you shall be responsible for the following, at your own cost:

    • (a) obtaining all necessary hardware, software and communications services necessary for your use of the App and Site in accordance with these Terms;

    • (b) installing antivirus or other mobile security software on your Enabled Device to protect against any security or other vulnerabilities which may arise in connection with your use of the App and Site in accordance with these Terms; and

    • (c) installing updates and patches for the App, Site and your Enabled Device in a prompt and timely manner.

  • 12.2 Without prejudice to the foregoing and any other terms in these Terms, you shall be solely responsible and liable for any access to and use of the App and Site and participation in RedotPay Loyalty Rewards Program through your Enabled Device, notwithstanding that such access may have been effected without your knowledge, authority or consent. The Group shall not be liable to you for any loss or damage resulting from such use.

• 13. SYSTEM ABNORMALITY AND DATA CORRECTION

  • 13.1 In the event of any Points data abnormality caused by force majeure, communications failure, hacker attack, system malfunction, or other circumstances not attributable to the subjective fault of RedotX SA, RedotX SA shall have the right to correct the Points data based on its back-end records and shall not be liable for any compensation in respect thereof.

  • 13.2 Without prejudice to Clause 13.1, in the event that Points are incorrectly credited to your Account due to system error, technical malfunction, or other inadvertent circumstances, RedotX SA reserves the right to deduct or reverse such incorrectly credited Points from your Account without prior notice to you. You acknowledge that you have no entitlement to retain Points that were credited in error.

  • 13.3 RedotX SA shall not be liable for any loss, damage, or inconvenience arising from any temporary unavailability, delay, or interruption of the Points system, the App, or the Site, whether caused by scheduled maintenance, system upgrades, or circumstances beyond RedotX SA's reasonable control.

• 14. RECORDS

  • You acknowledge and agree that in the event of any dispute arising in connection with your participation in RedotPay Loyalty Rewards Program, our records (including electronic, computer and microfilm stored records) of all matters relating to your participation and/or of you (including Points balance and Points transaction or use history) at any specified date shall be conclusive of their accuracy and authenticity and shall be binding on you for all purposes whatsoever. In addition, you agree to the admissibility of such documents without further requirement of proof of authenticity or accuracy in a court of law under applicable evidentiary law, rules and/or regulations.

• 15. LIMITATION OF LIABILITY

  • 15.1 Except as expressly provided in these Terms, to the fullest extent permitted by the Applicable Laws, we disclaim all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise (regardless of any course of dealing, custom or usage of trade) of any service or any goods provided incidental to RedotPay Loyalty Rewards Program under these Terms. Our liability in respect of representations and warranties that cannot be excluded is limited, at our option, to any one of: (i) re-supplying, replacing or repairing the services in respect of which the breach occurred or (ii) paying the cost of the re-supplying, replacement or repairing of the services in respect of which the breach occurred.

  • 15.2 Notwithstanding anything in these Terms, to the extent permitted by Applicable Law, in no event shall the Group or any of its representatives be liable to you for any losses or damage or claims:

    • (a) due to an unusual or unforeseeable event, outside the reasonable control of us and the consequences of which could not have been avoided even if all due care had been exercised (including but not limited to force majeure, events of war or civil unrest, natural disasters, strike, lock-out, traffic disruption, acts of domestic or foreign governmental authorities);

    • (b) arising from or in connection with:

      • (A) any delay, suspension, discontinuance or failure of the App, the Site or RedotPay Loyalty Rewards Program;

      • (B) any rejection of your participation in RedotPay Loyalty Rewards Program;

      • (C) any refusal to award, credit or redeem Points for any reason;

      • (D) your inability to participate in RedotPay Loyalty Rewards Program due to system maintenance or breakdown / non-availability of the App, Site, network, our hardware or software or that of any third parties;

      • (E) use of your Enabled Device and RedotPay Loyalty Rewards Program by third parties, whether authorised or unauthorised by you; and

      • (F) any theft or loss of your Enabled Device;

    • (c) caused by us due to compliance with applicable laws, court orders, and/or network rules; and

    • (d) arising out of or in connection with these Terms for lost profits, lost revenues, lost business opportunities, exemplary, punitive, special, incidental, indirect or consequential damages, each of which is hereby excluded by agreement of the parties to these Terms, regardless of whether such damages were direct or indirect, foreseeable or unforeseeable, or whether we have been advised of the possibility of such damages.

  • 15.3 For the avoidance of doubt, as RedotPay Loyalty Rewards Program is provided free of charge, the Group's aggregate liability to you in relation to RedotPay Loyalty Rewards Program may be nil.

  • 15.4 The Group shall not be liable for any fault on the part of any third-party service providers instructed by us. In such cases, the Group's liability shall be limited to using reasonable care in the selection, appointment and instruction of such third-party service providers (but not of any sub-contractor or other third-party such third-party service provider may use).

  • 15.5 Nothing in these Terms shall operate to limit or exclude any liability for fraud or for death or personal injury resulting from negligence.

• 16. INDEMNIFICATION

  • You agree to indemnify and hold the Indemnified Parties, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (i) your breach of these Terms; (ii) your use of the App or the Site and your participation in RedotPay Loyalty Rewards Program; (iii) your violation of any rule or regulation, or the rights of any third-party; and (iv) any acts resulting from your wilful default, fraud, gross negligence or breach of these Terms.

• 17. AMENDMENT AND VARIATION TO THESE TERMS

  • 17.1 RedotX SA reserves the right to modify these Terms at any time. The modified Terms shall take effect upon publication on the App and/or the Site. If you continue to earn, use or redeem Points after such publication, you shall be deemed to have agreed to the modified Terms.

  • 17.2 For the avoidance of doubt, RedotX SA may modify these Terms with immediate effect without prior notice where such modification is required to comply with Applicable Law, to respond to a security incident, or to prevent ongoing abuse or fraud.

• 18. ASSIGNMENT AND SUBCONTRACTING

  • These Terms, and any rights and licences granted hereunder, are personal to you and may not be transferred or assigned by you, but may be assigned by RedotX SA without restriction, including without limitation to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with RedotPay Loyalty Rewards Program. Any attempted transfer or assignment in violation hereof shall be null and void.

• 19. SEVERABILITY

  • If any provision of these Terms shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. Such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any Applicable Laws.

• 20. ENTIRE AGREEMENT AND LANGUAGE

  • 20.1 These Terms constitute the entire agreement between you, on the one hand, and the Group, on the other, with regard to its subject matter and supersede and invalidate all other prior representations, arrangements, understandings, and agreements relating to the same subject matter (whether oral or in writing, express or implied). Each party acknowledges that in agreeing to these Terms it does not rely on any statement, representation, warranty, or understanding other than those expressly set out in these Terms.

  • 20.2 These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English. If these Terms or any part of them are translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail.

• 21. WAIVER

  • 21.1 These Terms shall be waived in whole or in part only with the written consent of RedotX SA.

  • 21.2 The delay of enforcement or the non-enforcement of any of the terms of these Terms by the Group shall not be construed as a waiver of any of the other rights of the Group arising out of the breach or any subsequent breach of any of these Terms and no right, power or remedy conferred upon or reserved for the Group in these Terms is exclusive of any other right, power or remedy available to the Group and each such right, power or remedy shall be cumulative.

• 22. NOTICES AND COMMUNICATIONS

  • 22.1 By participating in RedotPay Loyalty Rewards Program, you agree that RedotX SA, its related corporations, third-party service providers, contractors or sub-contractors may provide you with any notices or other communications relating to your participation in RedotPay Loyalty Rewards Program electronically: (a) via email (to the address that you provide), SMS message, or telephone call (to the phone number that you provide), or (b) by posting to the Site or the App (including via in-app push notifications or the message centre). For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

  • 22.2 We prefer receiving notices to us electronically through our support system at support@redotpay.com.

• 23. THIRD PARTY RIGHTS

  • Save for the Indemnified Parties (who shall be entitled to enforce the terms of these Terms that confer benefits on them), a person who is not a party to these Terms shall have no right to enforce any of its terms. Notwithstanding the foregoing, these Terms may be rescinded or varied in any way and at any time by RedotX SA and you without the consent of any Indemnified Parties.

• 24. GOVERNING LAW AND JURISDICTION

  • 24.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

  • 24.2 Unless otherwise specified, any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to these Terms, shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

  • 24.3 Notwithstanding any other provision of these Terms, you agree that we have the right to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

  • 24.4 The language of any court proceedings shall be English.

  • 24.5 RedotX SA reserves, to the extent permitted by Applicable Law, the right of final interpretation of these Terms and of RedotPay Loyalty Rewards Program. In the event of any dispute arising in connection with these Terms or RedotPay Loyalty Rewards Program, RedotX SA's interpretation shall prevail, subject to mandatory provisions of Applicable Law.

PART A. DEFINITIONS

• 25. DEFINITIONS

  • 25.1 In these Terms, except where the context otherwise requires, the following words and expressions have the following meanings:

    "Point Use Specific Terms"	has the meaning ascribed to the term in Clause 6.2;
    "Points"	means the virtual reward units earned and held by you in your Account under RedotPay Loyalty Rewards Program, which have no cash value and are subject to the terms and conditions set out herein;
    "Prohibited Conduct"	has the meaning ascribed to the term in Clause 9.1;
    "RedotPay Loyalty Rewards Program"	means the complimentary rewards program provided exclusively by RedotX SA and governed by these Terms;
    "RedotX SA"	means RedotX (South Africa) S.A. (Pty) Ltd.

  • 25.2 In these Terms, except where the context otherwise requires:

    • (a) words importing the singular shall include the plural and vice versa;

    • (b) words importing a gender include every gender;

    • (c) references to persons shall include bodies corporate, unincorporated associations and partnerships;

    • (d) references to a party are to a party to these Terms and references to parties are to all the parties to these Terms;

    • (e) a reference to any statutory provision shall be deemed also to be a reference to any statutory modification or re-enactment thereof;

    • (f) any phrase introduced by the term "including", "include", "in particular" or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding that term;

    • (g) any reference to "day" shall be a reference to a calendar day unless expressed to the contrary;

    • (h) any reference to "month" shall be a reference to a calendar month unless expressed to the contrary;

    • (i) any reference to "year" shall be a reference to a calendar year unless expressed to the contrary;

    • (j) unless otherwise provided, any reference to any time of day shall be a reference to South Africa Standard Time (SAST);

    • (k) "property" or "asset" includes any present or future, real or personal, tangible or intangible property, asset or undertaking and any right, interest or benefit under or arising from it;

    • (l) any thing (including any amount or Service) includes each part and/or feature of it; and

    • (m) capitalised terms not otherwise defined under these Terms shall have the meanings given to them in the RedotPay Services Terms & Conditions.

  • 25.3 Headings. Headings should be disregarded in the interpretation of these Terms.
